Maddie is a Senior Associate in the Corporate & Securities group representing clients in corporate transactional law matters across many industries, with a particular emphasis on companies in the Venture Capital & Emerging Businesses and Beverage & Food industries.

Maddie represents clients in a broad range of corporate transactional law matters, including mergers, acquisitions, minority investments, divestitures, corporate restructurings, and venture capital financings. She additionally advises public and private companies in all stages of the business lifecycle regarding corporate governance and securities law compliance.

Maddie counsels clients across a wide range of industries from formation to exit and everything in between. Whether it be an early-stage financing, corporate restructuring or acquisition, Maddie thoughtfully guides clients through every step of these transactions until completion and beyond.  

Client Work

  • Represents an environmental company in its frequent add-on equity and asset acquisitions of waste, hazardous waste, and transportation companies. 
  • Serves as outside general counsel for an environmental company and a variety of early stage companies, including companies in the technology and healthcare sectors.
  • Represents numerous start-up companies in preferred stock financings, SAFEs, Convertible Promissory Notes, and other early-stage investments. 
  • Represented an environmental company in its receipt of a significant growth investment from a private equity sponsor. 
  • Represented a skilled nursing and rehabilitation company in the acquisition of a hospice facility. 
  • Represented a skilled nursing and rehabilitation company in the disposition of a skilled nursing home facility. 
  • Represented an environmental company in a cross-border equity acquisition of a Canadian environmental company. 
  • Represented an environmental company in its acquisition of the equity of a waste management company. 
  • Represented an environmental company in its acquisition of substantially all of the assets of a waste disposal company. 
  • Represented an IT management company in the sale of substantially all of its assets. 
  • Represented a beverage-focused investment fund in various preferred equity investments in the alcohol industry. 
  • Represented an institutional investor in various preferred equity investments in the environmental industry. 
  • Represented a family-owned transportation company in the sale of its equity to a private equity sponsor. 
  • Represented a media company on its divestiture of one of its business segments in a cross-border transaction. 

Life Beyond the Law

Maddie loves spending time with her husband and daughter, exploring local restaurants and coffee shops, and can be found most weekend mornings watching European soccer.
